The procedures of registering
an International Business Company in Seychelles are briefly explained below. We

Name of a Company
Two or three alternative names
are normally suggested for submission to the Registrar of companies.
Alternatively, Omega International Agents Limited keeps a number of Shelf
Companies and variety of names approved by the Registrar of Companies out of
which you can choose one that is appropriate for you.

Objects of Company
The main activities of the
proposed company must be provided. Normally we include general objects into the
Memorandum & Articles of the company, but you can provide us your particular
desires.

Share Capital
There is no minimum capital
stipulation in Seychelles. Standard Authorised Share Capital is 100,000 US
Dollars. Increase of this is a subject of additional fees.

Shareholders
Minimum one shareholder is
required. You should provide us information of a shareholder or shareholders and
value of shares. If anonymity is desired then you can choose bearer shares. Also
we can provide clients with our own trustees and nominees who can hold the
shares in trust without public disclosure of the identity of the beneficiary
shareholders.
In order to maintain the
business propriety of offshore activities we ask full names, nationality,
residential address, occupation of the beneficial owners, irrespective of
whether these are to be publicly known. In this respect clients are advised to
send us copies of passports of the beneficial owners and we leave the rights to
ask for additional documents.

Directors
For the appointment of a
director or directors of a Company the following information is needed:

We usually provide, in addition
to the above, nominee directors from our office who carry out their function
based on instructions from the beneficial shareholders. This facilitates the
smooth and timely execution of the operation of the company. It is permitted to
have corporate director of an IBC.

The company may have a
secretary; usually our office or an affiliated company can act as the corporate
secretary.

Period Needed To Register a
Company
The formation and registration
of the company including all the formalities can be completed within one to two
business days.

Registered Office
It is also a requirement of the
law that the company must have a registered office in Seychelles, which may be
used as the business address of the company. Our company can provide a new
company with such address.

for example for opening a bank account.

Offshore Company (IBC with share capital up to USD 100,000) includes
Registration of an IBC with registration fee paid for one year. We also provide
with originals of all necessary documents, registered address of the company,
Corporate Service Provider and company secretary.

Annual fee - 750 USD (Registered address and CSP fees included)

Certificate of Good Standing - 250 USD (with additional apostilled copy)
Mail forwarding services annual fee USD - 150 USD (12 parcels a year not
included courier mail cost)
Courier delivery of documents (Europe) - approximately 80-100 USD
* The price is not including a set of apostilled documents, courier mail fee and
additional charges for opening bank account from a bank side. Furthermore we can
ask a client for additional documents such as bankers’ references and/or any
others which might be required for opening a bank account.
